Cpycat Terms of Service

1. Who we are and what these Terms cover

1.1 These Terms of Service ("Terms") are a contract between you and Cpycat Ltd, a company registered in England and Wales (company number 17123542, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom) ("Cpycat", "we", "us"). They govern your use of the website at cpycat.com, the Cpycat web application, and all related features and services (together, the "Platform").

1.2 By creating an account, starting a trial, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy, which explains how we handle your personal data, including biometric data. If you do not agree, do not use the Platform.

1.3 Some words have specific meanings in these Terms:

• "Member" or "you" — an individual with a Cpycat account.
• "Clone" — the AI representation of a Member that Cpycat generates from that Member's face images, voice sample and personality data.
• "Simulated Date" — an automated, AI-generated conversation between two Members' Clones in a scripted scenario (for example a coffee shop or a walk), typically lasting under a minute of processing time.
• "Date Record" — the transcript, summary and point-of-view account of a Simulated Date that we make available to the Members involved.
• "Compatibility Report" — our AI-generated assessment of how two Members' Clones interacted, expressed as scores and commentary across several dimensions.
• "Match" — two Members who have each approved the other after reviewing their Date Records and Compatibility Reports.
• "Introduction" — the step in which Cpycat reveals to each Member of a Match the contact details or handle that the other Member has chosen to share.
• "Dating Service" — the Clone creation, Simulated Date, Compatibility Report, Match and Introduction features described in Section 6.
• "Subscription" — a paid plan for the Dating Service, as described in Section 10.

2. What Cpycat is — and is not

2.1 The service. Cpycat is an online dating and compatibility service. Instead of swiping on photos, Members build a Clone and let it have Simulated Dates with other Members' Clones. Cpycat then surfaces the Members whose Clones showed the strongest compatibility, so that Members can decide whether to meet the real person.

2.2 What Cpycat is not. For the avoidance of doubt, Cpycat is not, and must not be used as:

• (a) an adult-entertainment, pornographic or sexually oriented service of any kind, whether the content is created by a person or generated by AI;
• (b) an escort, companionship, "sugar" or any other service in which money, gifts or other value are exchanged for dates, company, intimacy or sexual services;
• (c) a marriage brokerage, mail-order-bride or immigration-sponsorship service;
• (d) a live-chat, video-chat or messaging service between human Members;
• (e) a background-checking, identity-verification or vetting service;
• (f) a financial service. Cpycat never moves money between Members, and Members must never send money to one another through or because of the Platform; or
• (g) used for human trafficking, including sexual exploitation, or to aid, abet or encourage the abuse of any person (see Section 7.11).

2.3 Clones are AI. Every Clone is software. A Clone is clearly labelled as AI-generated. Nothing a Clone says is a statement by the Member it represents, by the Member it is talking to, or by Cpycat, and it may not be accurate (see Section 15).

3. Eligibility and where Cpycat is available

3.1 Adults only. You must be at least 18 years old (or the age of majority where you live, if higher) to use the Platform. The Platform is not designed for, directed at, or to be used by anyone under 18. We may use age-assurance and identity checks at any time, and we will close any account that we reasonably believe belongs to a minor.

3.2 Legal capacity. You must be legally able to enter into a binding contract, and you must not be a person barred from using the Platform under the laws of the United Kingdom or any other applicable jurisdiction. You must not be registered on any sex-offender register, and you must not have been convicted of, or be subject to a court order relating to, a violent or sexual offence, fraud or any offence involving deception.

3.3 Geographic availability. The Dating Service is operated from the United Kingdom. It is not offered to persons resident in India, Malaysia, Thailand or the United Arab Emirates, or in any other place where online dating or matchmaking services are unlawful or where our payment partners do not support them. We may use location and payment signals to restrict access, and we may withdraw the Platform from any territory at any time.

3.4 One person, one account. Each Member may hold one account, in their own legal name, for their own personal and non-commercial use. Accounts are personal and may not be shared, sold, transferred or used on behalf of another person or a business.

4. Your account

4.1 Accurate information. You must give us true, current and complete information when you create your account and keep it up to date. This includes your date of birth and any information we ask for to confirm your identity.

4.2 Sign-in and security. You can sign in using the methods we make available (for example Google or email). You are responsible for keeping your sign-in method secure and for everything that happens under your account. Tell us immediately at cpycatcc@gmail.com if you think someone else has accessed your account.

4.3 Verification. We may, at any time and at our discretion, ask you to complete identity, age or liveness verification — for example a live face scan compared against the images used to build your Clone, a government-ID check, or a verified sign-in method. We may restrict or close accounts that fail or refuse verification. Verification reduces, but does not eliminate, the risk of impersonation, and we do not guarantee that any Member is who they say they are.

4.4 Communications. We will send you service messages (such as trial reminders, billing notices, safety notices and changes to these Terms) by email or inside the Platform. You cannot opt out of service messages while you have an account.

5. Creating your Clone

5.1 Only you. You may create a Clone of yourself only. You must not upload, record or describe anyone else's face, voice, writing, likeness or personal details, and you must not create a Clone that is intended to look, sound or behave like another real person, living or dead. Cloning another person is a serious breach of these Terms and may be a criminal offence.

5.2 Your consent. To create and operate your Clone we process your face images, voice recordings and personality data, which include biometric data that is "special category" data under UK data protection law. We do this only with your explicit consent, which we ask for before capture begins and which you can withdraw at any time by deleting your Clone. Our Privacy Policy explains exactly what we collect, who processes it for us, and how long we keep it.

5.3 Honesty. The information your Clone is built on must be true. You must not give your Clone a different age, relationship status, location, job, or other characteristics with the aim of misleading other Members.

5.4 Your Clone acts for you. You understand and agree that your Clone will speak on your behalf in Simulated Dates, that its words are generated by AI from the data you supplied, and that the other Member in each Simulated Date will see a Date Record containing what your Clone said. You are responsible for the personality data you supply and for reviewing how your Clone presents you. You must not supply instructions or data intended to make your Clone produce content that breaks Section 7.

5.5 AI labelling. Clones and Clone-generated content are labelled as AI-generated. You must not remove, obscure or misrepresent that labelling, and you must not present Clone-generated content as if a human wrote or said it where doing so would mislead someone or break the law.

5.6 Deleting your Clone. You can delete your Clone, or your whole account, at any time from your account settings. Deleting your Clone or your account also cancels your Subscription. Deletion removes your face, voice and personality data from our active systems immediately and from backups within 30 days. Date Records and Compatibility Reports from Simulated Dates involving your Clone, and any contact details you chose to share at an Introduction, remain available to the other Member after you delete, as described in the Privacy Policy.

6. The Dating Service

6.1 How it works.

• (a) Once your Clone is ready, we run Simulated Dates between your Clone and the Clones of other Members whose preferences are compatible with yours (for example age range, location and relationship goals).
• (b) After each Simulated Date we generate a Date Record and a Compatibility Report for each of the two Members involved.
• (c) You review your Date Records and Compatibility Reports and choose whether to approve the other Member. The other Member does the same. Neither Member is told whether the other has approved until both have.
• (d) If both Members approve, you become a Match and we make an Introduction by revealing to each of you the contact details or handle the other has chosen to share.
• (e) Everything after the Introduction — messaging, calls, meeting in person — happens outside the Platform and is solely between you and the other Member.

6.2 Your preferences control who your Clone dates. You can set and change the preferences that determine which Members' Clones yours may be paired with, and you can pause Simulated Dates at any time from your settings.

6.3 What other Members see. By using the Dating Service you agree that other Members whose Clones are paired with yours may see: your display name, age and the profile details you choose to show; your Clone's appearance and voice as generated by the Platform; the Date Records of Simulated Dates involving your Clone; and the Compatibility Report for those dates. Once you have both approved a Match, the other Member also sees the photographs you chose to include in your reveal gallery and the contact details you chose to share. Members never see your payment details, your raw voice recordings, or the writing samples and personality data you uploaded. Your account email address is shared only if you choose it as your contact detail at an Introduction. We never share your contact details or reveal photographs before a mutual Match.

6.4 No human messaging. The Platform does not currently provide messaging, chat, voice or video communication between human Members. If we introduce such a feature in future we will tell you first, and these Terms (including Section 7) will apply to it.

6.5 No guarantees. Compatibility Reports are AI-generated estimates, not facts. We do not guarantee that you will receive any particular number of Simulated Dates, Compatibility Reports, Matches or Introductions; that any Member will respond to an Introduction; or that any Match will lead to a date, a relationship or any other outcome. Your results depend on factors outside our control, including the number and preferences of other Members in your area.

6.6 We do not vet Members. We do not carry out criminal background checks on Members, and any identity or age check we may perform is limited in scope. You are solely responsible for deciding whether to approve a Match, accept an Introduction, communicate with or meet another Member, and for the precautions you take.

6.7 Member-to-Member disputes. If you have a dispute with another Member, it is between you and that Member. We may, but are not required to, become involved. Please report conduct that breaks these Terms to us (Section 9) so that we can protect other Members.

6.8 Astrology and similar features. Where the Platform offers zodiac, numerology or similar insights, they are provided for entertainment and self-reflection only. They are not advice and are not used to discriminate against any Member.

7. Community standards — what you must not do

In summary, the following are prohibited on Cpycat, lead to termination, and where relevant are reported to law enforcement: child sexual exploitation or abuse, including child sexual abuse material (CSAM); sexual violence; non-consensual content; human or sex trafficking or sexual exploitation; sexually explicit profile content; and scams or fraudulent activity intended to defraud users. The full standards follow.

7.1 These standards apply to everything you do on the Platform: your profile, the data you give your Clone, the way you configure your Clone, your conduct toward other Members after an Introduction, and anything you say about other Members or the Platform elsewhere.

7.2 Sexual and adult content — not permitted. You must not create, request, configure your Clone to produce, or share any content that is sexually explicit, pornographic, or designed for sexual gratification; any nudity; any sexually explicit profile content, photographs or Clone output; any sexual solicitation; or any reference to escorting, prostitution, "sugar" arrangements, fetish services or sexual services of any kind. This applies equally to human-created and AI-generated content. Romantic or affectionate conversation appropriate to a first date is fine; sexual content is not, and there are no exceptions.

7.3 Minors — zero tolerance. Child sexual exploitation or abuse of any kind, including child sexual abuse material (CSAM), is prohibited. You must not upload, create, request or share any content that sexualises, depicts or refers to a minor in any sexual or romantic way, and you must not use the Platform to contact or attempt to contact anyone under 18. We report such conduct to law enforcement.

7.4 Money and commercial activity. You must not: ask any Member for money, gifts, loans, investments, cryptocurrency, account or card details, or any other financial information or benefit; engage in scams or any fraudulent activity intended to defraud Members or anyone else; offer or accept payment for dates, company or any other in-person activity; advertise or promote any product, service, website, social-media account or other platform; or use the Platform for any commercial purpose other than Creator features that we have expressly enabled (Section 12). Cpycat will never ask you to pay anything other than your Subscription through our Stripe checkout, and no Member should ever ask you to pay anything at all.

7.5 Honesty and identity. You must not: create a Clone or profile of anyone other than yourself; misrepresent your identity, age, gender, relationship status, location or intentions; create more than one account; create a new account after we have closed one; or let anyone else use your account.

7.6 Respect. You must not harass, stalk, intimidate, threaten, abuse, bully, defame or discriminate against any Member or any other person, including on the basis of race, ethnicity, religion, disability, age, sex, sexual orientation or gender identity. You must not share, or threaten to share, another person's private information or intimate images.

7.7 Other Members' data. Date Records, Compatibility Reports, profile information and any contact details you receive through an Introduction are shared with you for the sole purpose of deciding whether and how to meet that Member. You must not screenshot, record, copy, publish, post, sell or otherwise share them outside the Platform; use them to contact a Member who has not approved a Match with you or who has withdrawn from one; or use another Member's face, voice or Clone output to create any content, including deepfakes, synthetic media or AI training data.

7.8 Illegal and harmful content. You must not use the Platform for anything unlawful, or to create or share content that is violent, hateful, extremist, fraudulent, deceptive, or that promotes self-harm, eating disorders or the use of illegal drugs.

7.9 Platform integrity. You must not: use bots, scripts, scrapers or automation to access the Platform or create accounts; attempt to extract, reverse-engineer or copy our models, prompts, code or data; attempt to make a Clone or the Platform ignore its instructions or safety rules; probe or test the Platform's security without our written permission; interfere with other Members' use of the Platform; or use Clone output or Platform data to train or evaluate any AI model.

7.10 Third-party rights. You must not upload content that infringes anyone's copyright, trade mark, privacy, publicity or other rights.

7.11 Trafficking, exploitation, violence and non-consensual content — prohibited. You must not use the Platform, or attempt to use it, for or in connection with: human trafficking or sex trafficking, sexual exploitation, or aiding, abetting or encouraging the abuse of any person; child sexual exploitation or abuse, including CSAM; sexual violence, or content that depicts, threatens or promotes it; non-consensual content, including intimate images and any content depicting a person without their consent; or any scam or fraudulent activity intended to defraud Members. We remove such content, terminate the accounts involved, preserve evidence and report to law enforcement (see our Law Enforcement Policy at cpycat.com/law-enforcement).

8. Your safety

8.1 Cpycat does not conduct criminal background checks. We do not investigate the backgrounds of Members, and we make no representation about any Member's character, criminal history, health, financial situation or suitability. Members may misrepresent themselves despite our rules.

8.2 Take sensible precautions. The following are not a substitute for your own judgement, but we strongly recommend that you:

• take your time after an Introduction and talk before meeting;
• never send money or share financial details with someone you have met online, however convincing their story;
• meet in a public place for your first few meetings, tell a friend where you are going and who you are meeting, and arrange your own transport;
• keep your phone charged and with you, and stay in control of your drinks and belongings;
• be wary of anyone who quickly pushes to move the conversation off-platform, professes strong feelings unusually early, avoids live video, or says they are working abroad and cannot meet;
• trust your instincts, and end any interaction that makes you uncomfortable.

8.3 Emergencies. If you are in immediate danger, contact your local emergency services (999 in the UK, 112 in the EU, 911 in the US). Cpycat is not an emergency service.

8.4 Tell us. If any Member behaves in a way that breaks these Terms or makes you feel unsafe, before or after an Introduction, report it to us (Section 9). We treat safety reports as our highest priority.

8.5 Disclosure for certain US states. Some US states require dating services to state whether they carry out criminal background screening and to provide safety awareness information. Cpycat does not carry out criminal background screening of its Members. Safety awareness information is set out in this Section 8.

9. Reporting, moderation, complaints and appeals

9.1 Reporting. You can report a Member, a Date Record, a Compatibility Report or anything else on the Platform using the report option where available, or by emailing cpycatcc@gmail.com with "Report" in the subject line. Please include what happened, when, and any supporting information. We keep reports confidential to the extent we lawfully can.

9.2 Blocking and unmatching. You can unmatch from any Member at any time, which withdraws your approval and, where an Introduction has not yet taken place, prevents one. You can ask us to ensure that a particular Member is never paired with your Clone again.

9.3 How we moderate. We use a combination of automated checks and human review. Automated checks include the safety rules built into the AI models we use and the rules we apply when configuring Clones; human review covers reports and accounts flagged by those checks. We may remove or refuse to generate content, limit a Clone's behaviour, pause Simulated Dates, require verification, issue warnings, and suspend or terminate accounts. We act on reports, on what our systems detect, and on information from law enforcement and other authorities.

9.4 Illegal content and duties under the UK Online Safety Act. We do not permit illegal content or content harmful to children on the Platform. We take proportionate steps to prevent it, to remove it swiftly when we become aware of it, and to make reporting easy. We cooperate with law enforcement and with Ofcom as required by law. Our Law Enforcement Policy, including how authorities request data from us, is published at cpycat.com/law-enforcement.

9.5 Complaints. If you are unhappy with any moderation decision, with the Platform or with anything we have done, email cpycatcc@gmail.com with "Complaint" in the subject line. We acknowledge complaints within 3 business days and aim to resolve them within 14 days.

9.6 Appeals. If we remove your content or suspend or terminate your account, you may appeal within 30 days by email. A person who was not involved in the original decision will review the appeal. We will explain the outcome unless doing so would compromise safety, an investigation or another Member's privacy.

10. Subscriptions, free trial and billing

10.1 Plans and prices. The Dating Service is provided under the Cpycat Dating Subscription at £11.11 per month. The price, what it includes and any other plans are shown on the Platform at the time you sign up. Prices are in pounds sterling; if you pay in another currency, your card issuer sets the exchange rate and may charge a fee.

10.2 Free trial. New Members receive a 30-day free trial of Cpycat Dating. To start the trial you must provide a valid payment card, which we store securely with Stripe. You will not be charged during the trial. Unless you cancel before the trial ends, your Subscription starts automatically when the trial ends and we charge your card £11.11 for the first month. One trial per person; we may refuse a trial to anyone who has already had one.

10.3 Trial reminder. We will email you at least 7 days before your trial ends to remind you of the date the trial ends, the amount we will charge and how to cancel. We will also email you a receipt for every payment.

10.4 Automatic renewal. Subscriptions renew automatically each month on the same calendar day (or the last day of the month where there is no equivalent day) until you cancel. By subscribing you authorise us, through Stripe, to charge your stored payment method the then-current price at each renewal.

10.5 Cancelling. You can cancel at any time, with no fee and no questions asked, from your account settings or by emailing cpycatcc@gmail.com with "Cancel" in the subject line. If you cancel during the trial you will not be charged. If you cancel after the trial, you keep access until the end of the period you have already paid for, and you will not be charged again. Deleting your account also cancels your Subscription.

10.6 Price changes. We may change the price of a Subscription or what it includes. We will give you at least 30 days' notice by email before any price increase takes effect for you, and you may cancel before it does. If you keep using the Platform after the change takes effect, the new price applies.

10.7 Payment processing. All payments are processed by Stripe Payments Europe Ltd and its affiliates ("Stripe"). Cpycat does not see or store your full card number. By paying, you also agree to Stripe's terms and privacy policy. You must be the authorised holder of the payment method you use.

10.8 Failed payments, and when your Subscription ends. If a payment fails, we may retry it over the following days, and Stripe may update your card details through your card network. If we still cannot collect payment, we treat your Subscription as ended. When your Subscription ends — because you cancelled it or because payment could not be collected — your Clone stops taking part in Simulated Dates and no longer appears to other Members, except in the Date Records and Compatibility Reports you already share with them. You keep access to your own Clone and to your Date Records and Compatibility Reports, and you can resume by subscribing again. Nothing is deleted.

10.9 Taxes. Cpycat Ltd is not currently registered for VAT, so no VAT is added to the prices shown. If we become VAT registered we will give you notice under Section 10.6 before any price change. If you are outside the UK, local taxes may be payable by you.

10.10 No other charges. There are no hidden fees, no pay-per-Match fees and no charges for Introductions. The only amount we charge you is your Subscription. If you are ever asked to pay Cpycat in any other way — for example by bank transfer, gift card or cryptocurrency — it is a scam; please report it.

11. Your cancellation rights and our refund policy

11.1 14-day statutory cancellation right. If you are a consumer, you have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your contract with us within 14 days of signing up, for any reason. To exercise it, email cpycatcc@gmail.com stating clearly that you wish to cancel (you may use the model form at the end of these Terms). Because the first 30 days of Cpycat Dating are free, cancelling within 14 days of sign-up costs you nothing.

11.2 Starting straight away. When you create your Clone and start your trial, you ask us to begin providing the service immediately, during the 14-day cancellation period, and you acknowledge that if you cancel after we have started we may charge a proportionate amount for the service provided up to the point of cancellation. In practice, because the trial is free, no charge arises unless you cancel after a paid period has begun.

11.3 Refunds after the trial. Subscription payments are for the month ahead and are non-refundable for partial months, except:

• (a) where the Consumer Rights Act 2015 or other law gives you a right to a refund (for example because the service was not provided with reasonable care and skill, or was unavailable for a prolonged period through our fault);
• (b) where we have made a billing error, in which case we refund in full;
• (c) where you cancel within 14 days of a price increase taking effect, in which case we refund the difference for the remainder of that month; or
• (d) at our discretion, if you contact us within 7 days of a charge and have not used the Dating Service during the period charged.

11.4 How to ask for a refund. Email cpycatcc@gmail.com with "Refund" in the subject line and the email address on your account. We respond within 3 business days and pay approved refunds to your original payment method within 10 business days.

11.5 Chargebacks. If you have a problem with a charge, please contact us first — we resolve almost every billing issue within a day. Raising a chargeback with your bank for a charge you authorised, without first contacting us, is a breach of these Terms. We may suspend the account concerned while a chargeback is investigated, and we reserve our right to recover amounts properly due where the law permits.

12. Creator Clones, fan subscriptions and tips (where we make them available)

12.1 Availability. Cpycat may in future allow selected Members with an existing audience ("Creators") to make their Clone available for conversation with other Members ("Fans") in return for a fan subscription or voluntary tip. These Creator features are not currently available on the Platform. If we launch them, this Section 12 will apply, we will tell you before you can use them, and we may publish additional Creator terms.

12.2 Content standards apply in full. Creator Clones are subject to Section 7 without exception. Creator Clones must not produce sexual, adult, nude, fetish, "girlfriend/boyfriend experience" or similarly oriented content, and Creators must not market their Clone in a sexual way. Cpycat is not, and will not become, an adult-content platform. We monitor Creator Clones and remove any that breach this Section immediately.

12.3 Payments. Fan subscriptions and tips are charged by Cpycat through Stripe. Creators receive payouts through Stripe Connect and must accept the Stripe Connected Account Agreement. Creators receive 80% of net fan subscription and tip revenue attributable to their Clone; Cpycat retains 20% as a platform fee. Payout timing, minimums and currency are set out in the Creator dashboard. Creators are responsible for their own taxes.

12.4 No off-platform payments. Fans must not pay Creators, and Creators must not solicit or accept payment from Fans, other than through the Platform. Cpycat does not provide peer-to-peer payment, money transmission or escrow services.

12.5 Refunds, disputes and holdbacks. Fan subscriptions follow Sections 10 and 11. Tips are voluntary and non-refundable except where required by law. Where a Fan payment is refunded or charged back, the corresponding Creator share is deducted from future payouts. We may hold back or withhold payouts where we reasonably suspect a breach of these Terms, fraud or a chargeback risk, and we may terminate Creator status at any time.

13. Clone actions on third-party platforms (where enabled)

13.1 Where we enable a feature that lets your Clone draft or post content on a third-party service (for example replying to comments on a social network) on your behalf, you are responsible for everything your Clone posts, you must comply with that service's terms, and you must review content before it is posted where we provide the option. We are not responsible for action taken by a third-party service against your account as a result of Clone-generated content. These features are provided only where shown in your account and may be withdrawn at any time.

14. Your content, our licence, and other Members' content

14.1 You own your content. You keep all rights in the images, recordings, text and other material you upload ("Your Content") and, as between you and Cpycat, in the output of your Clone.

14.2 Licence to us. So that we can operate the Platform, you grant Cpycat a worldwide, non-exclusive, royalty-free licence, for as long as your account exists plus the deletion period in Section 5.6, to host, store, reproduce, process, adapt and create derivative works from Your Content (including training and running the models that power your Clone specifically), to generate Clone output, to run Simulated Dates, and to display your profile, your Clone and your Date Records and Compatibility Reports to the Members with whom your Clone is paired. We do not use Your Content or your Clone's output to train general-purpose AI models for third parties, and we do not sell Your Content. We may retain de-identified, aggregated statistics about Platform use.

14.3 Your warranties. You promise that you have all rights needed to grant the licence in Section 14.2, that Your Content is of you and only you, and that it does not break Section 7.

14.4 Other Members' content. Content you receive from other Members through the Platform remains theirs and is licensed to you only for the purpose and subject to the limits in Section 7.7.

14.5 Feedback. If you send us suggestions or feedback, we may use them freely without obligation to you.

14.6 Removal. We may remove or refuse to display any content that we reasonably believe breaks these Terms, exposes us or anyone else to legal risk, or harms the Platform.

15. AI-generated content: what to expect

15.1 Clones, Simulated Dates, Date Records, Compatibility Reports and similar features are generated by artificial-intelligence systems, including large language models, voice-synthesis and image-generation models provided by third parties. AI output can be inaccurate, incomplete, repetitive, biased or simply wrong, and may not reflect what the Member it represents would actually say or do.

15.2 Compatibility Reports express a model's assessment of a simulated conversation. They are not psychological assessments, are not predictions about any real person, and must not be relied on as the sole basis for any decision.

15.3 Nothing on the Platform is medical, psychological, legal, financial or other professional advice. Please seek qualified advice for such matters.

15.4 We work continuously to improve our models and safeguards, but we cannot guarantee that a Clone will never produce content that a Member finds inaccurate, offensive or upsetting. If that happens, please report it (Section 9).

16. Our intellectual property

16.1 The Platform — including its software, models, prompts, designs, text, graphics, the Cpycat name and logo, and the "Cognitive Persona Yielding Conversational Avatar Twin" line — is owned by Cpycat Ltd or its licensors and protected by intellectual-property laws. We grant you a limited, personal, revocable, non-transferable licence to use the Platform in accordance with these Terms. All other rights are reserved.

16.2 You may not copy, modify, distribute, sell, lease, reverse-engineer or create derivative works from any part of the Platform, or use our name or branding without our prior written consent.

17. Privacy and data

17.1 Our Privacy Policy forms part of these Terms. It describes the personal data we collect (including biometric data), the purposes and legal bases for processing, the third-party processors we use, international transfers, retention periods and your rights under the UK GDPR and Data Protection Act 2018.

17.2 By using the Dating Service you understand that Date Records and Compatibility Reports necessarily involve sharing Clone-generated content based on your personal data with the other Member in each Simulated Date, as described in Section 6.3.

17.3 We may retain and disclose information where we believe in good faith that it is necessary to comply with law or a lawful request from a public authority, to enforce these Terms, to detect or prevent fraud or abuse, or to protect the safety of any person. Our Law Enforcement Policy, including how authorities request data from us, is published at cpycat.com/law-enforcement.

18. Third-party services

18.1 The Platform relies on third-party providers, including Stripe (payments), Clerk (authentication), Supabase (data storage), Vercel (hosting), Anthropic (language models), Fish Audio (voice), D-ID and fal.ai (image and video generation), and Resend (email). Their services are subject to their own terms, which we pass through to you where required, and they act as our processors for your personal data as described in the Privacy Policy.

18.2 We are not responsible for third-party websites, services or content that you access through links on the Platform or through an Introduction.

19. Availability, changes and beta features

19.1 We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free operation. We may suspend the Platform for maintenance, security or technical reasons, and will try to give notice where practicable.

19.2 We are constantly improving Cpycat. We may add, change or withdraw features. If a change materially reduces what your paid Subscription includes, we will tell you at least 30 days in advance and you may cancel; if you have paid for a period that is materially affected, you may ask for a proportionate refund.

19.3 Features marked "beta", "preview", "experimental" or similar are provided for evaluation, may not work as intended, and may be changed or withdrawn without notice.

20. Suspension and termination

20.1 By you. You may stop using the Platform and delete your account at any time from your account settings. Section 10.5 explains the effect on your Subscription.

20.2 By us. We may suspend or restrict your account, pause your Clone, or terminate your account immediately if: you breach these Terms (in particular Sections 3, 5 or 7); we are required to by law, a court or a regulator, or by the rules of our payment partners; we reasonably believe your account poses a risk to other Members, to third parties or to Cpycat; or we receive a credible report of harmful conduct, pending investigation. Where reasonable and lawful we will tell you why and how to appeal (Section 9.6). We may also close accounts that have been inactive for more than 12 months after giving 30 days' notice.

20.3 Withdrawal of the service. We may stop providing the Platform altogether on at least 30 days' notice, in which case we will refund any prepaid Subscription fees for the period after the service ends.

20.4 Effect of termination. On termination your right to use the Platform ends, your Clone is withdrawn from Simulated Dates, and your data is deleted in accordance with Section 5.6 and the Privacy Policy, subject to any retention we are legally required to maintain (for example payment records). Sections 7.7, 11.5, 14, 16, 21, 22 and 24 to 26 survive termination.

21. Disclaimers and limitation of liability

21.1 Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded by law. If you are a consumer, nothing in these Terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 for digital content and services to be as described, fit for purpose, of satisfactory quality and supplied with reasonable care and skill.

21.2 What we are responsible for. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or of our failing to use reasonable care and skill.

21.3 What we are not responsible for. Subject to Section 21.1, we are not liable for: the conduct of any Member, whether on or off the Platform, before or after an Introduction; the accuracy of any Clone output or Compatibility Report; any loss arising from your reliance on AI-generated content; loss caused by events outside our reasonable control; loss caused by your breach of these Terms; or business losses — the Platform is for personal use only.

21.4 Cap. Subject to Section 21.1, our total liability to you arising out of or in connection with the Platform in any 12-month period is limited to the greater of (a) £100 and (b) the Subscription fees you paid us in that period.

21.5 "As is". Subject to Section 21.1 and your statutory rights, the Platform is provided as is and as available, and we make no other promises about it.

22. Your responsibility to us

22.1 To the extent permitted by law, you agree to compensate us for losses, liabilities, costs and expenses (including reasonable legal fees) that we suffer as a result of your breach of these Terms, your Content, your Clone's configuration, or your misuse of another Member's information. This does not apply to losses caused by our own breach or negligence.

23. Changes to these Terms

23.1 We may update these Terms from time to time, for example to reflect new features, changes in the law or requirements of our payment partners. If a change is material, we will give you at least 14 days' notice by email or in the Platform before it takes effect, unless the change is required by law or needed urgently to protect Members, in which case it may take effect sooner. If you do not agree to a change you may cancel before it takes effect; continuing to use the Platform after that date means you accept it. The current version is always at cpycat.com/terms.

24. Governing law and disputes

24.1 These Terms, and any dispute or claim arising out of or in connection with them or the Platform, are governed by the laws of England and Wales.

24.2 If you are a consumer living in another part of the United Kingdom, the European Union or elsewhere, you also benefit from any mandatory consumer-protection rules of the country in which you live, and you may bring proceedings in the courts of that country. Otherwise, the courts of England and Wales have exclusive jurisdiction.

24.3 Before starting any legal proceedings, please contact us at cpycatcc@gmail.com so that we can try to resolve the matter informally. We are not currently a member of an alternative dispute resolution scheme and are not obliged to use one.

25. General

25.1 These Terms, together with the Privacy Policy and any additional terms we notify to you for specific features, are the whole agreement between you and us about the Platform.

25.2 If any part of these Terms is found to be invalid or unenforceable, the rest continues in full effect.

25.3 If we do not enforce a right under these Terms straight away, we can still enforce it later.

25.4 We may transfer our rights and obligations under these Terms to another organisation (for example if we restructure or are acquired); we will tell you if this happens and it will not reduce your rights. You may not transfer yours without our written consent.

25.5 These Terms are written in English. Any translation is for convenience only; the English version prevails.

25.6 Notices to you will be sent to the email address on your account. Notices to us should be sent to cpycatcc@gmail.com.
